Terms of Service & User Agreement

Last updated: 4 October 2026

Welcome to EUCRIT.

These Terms of Service & User Agreement (“Terms”) govern your access to and use of the EUCRIT website, learning platform, courses, memberships, assessments, certificates, webinars, workshops, mentoring activities and other educational and professional-development services.

Please read these Terms carefully before creating an account, purchasing a product or service, or using an EUCRIT Service.

1. ABOUT EUCRIT AND THESE TERMS

1.1 Who We Are

EUCRIT is operated by PACI IKE, a private company incorporated under the laws of Greece, trading under the name EUCRIT (“EUCRIT”, “we”, “us” or “our”).

Our company details are:

Legal entity: PACI IKE
Trading name: EUCRIT
G.E.MI. number: 195210803000
VAT number: EL803355261
Email: [email protected]
Website: www.eucrit.com

PACI IKE is the contracting party responsible for EUCRIT products and services unless expressly stated otherwise before purchase.

1.2 Scope

These Terms apply to EUCRIT's:

  • website and online learning environment;
  • free and paid online courses;
  • self-paced digital educational content;
  • assessments and examinations;
  • certificates and credentials;
  • Free, Start and Master memberships or any successor plans;
  • webinars and online events;
  • live workshops;
  • mentoring and professional-development activities;
  • priority Q&A and expert sessions, where offered;
  • downloadable educational resources;
  • community features, where available;
  • organisational and team training licences; and
  • other products or services expressly stated to be governed by these Terms.

Together, these are referred to as the “Services.”

Certain consultancy, mock-inspection, advisory, SOP-development, retainer, bespoke organisational or other professional services may be governed by separate Professional Services Terms, an Order Form, proposal or Statement of Work, as described in Section 3.6.

1.3 Product-Specific Information

The exact characteristics of a Service, including its:

  • price;
  • payment structure;
  • duration;
  • access period or continuing-access basis;
  • included content;
  • membership benefits;
  • number of authorised users, where applicable;
  • assessment requirements;
  • certificate requirements;
  • renewal conditions; and
  • technical requirements,

will be described on the relevant product, pricing, registration, proposal, Order Form or checkout page.

Any specific conditions expressly presented or agreed for a particular Service form part of your contract with us.

1.4 Other Policies

These Terms should be read together with our Privacy Policy and Cookie Policy.

Our Privacy Policy explains how we process personal data and does not itself constitute consent to processing except where consent is specifically requested under applicable law.

1.5 Consumers and Organisational Customers

A “Consumer” means a natural person acting for purposes outside their trade, business, craft or profession, as determined under applicable law.

An “Organisational Customer” means a company, clinical research organisation (“CRO”), clinical research site, institution, association or other organisation purchasing Services for its personnel or for purposes connected with its business or professional activities.

Nothing in these Terms limits or excludes mandatory rights available to Consumers under applicable Greek or European Union law.

2. ELIGIBILITY AND ORGANISATIONAL PURCHASES

2.1 Minimum Age

You must be at least 18 years old to:

  • create an EUCRIT account;
  • enrol in any EUCRIT course, whether free or paid;
  • join an EUCRIT membership or community;
  • register for webinars, workshops, mentoring or other EUCRIT activities requiring registration; or
  • otherwise use an EUCRIT Service that requires an account or registration.

By creating an account, enrolling in a Service or registering for an EUCRIT activity, you confirm that you are at least 18 years old.

EUCRIT Services requiring registration are not directed to persons under 18, and EUCRIT does not provide an alternative parental-consent process for account creation by minors.

If EUCRIT reasonably determines that an account has been created by a person under 18, EUCRIT may suspend or close the account and take any other appropriate steps in accordance with applicable law and the EUCRIT Privacy Policy.

This age restriction does not prevent persons under 18 from viewing publicly accessible pages of the EUCRIT website that do not require registration.

2.2 Organisational Purchases

If you purchase Services on behalf of an organisation, you confirm that you have authority to bind that organisation.

The relevant organisation will be the contracting party in relation to the organisational purchase and will be responsible for ensuring that its authorised users comply with provisions of these Terms relating to:

  • account access;
  • intellectual property;
  • assessments;
  • certificates;
  • confidentiality, where applicable;
  • community conduct; and
  • acceptable use.

Organisational purchases may be subject to additional Order Forms, licence terms, Statements of Work, proposals or Professional Services Terms.

Where expressly agreed, those additional terms will prevail over these Terms to the extent of any inconsistency.

3. EUCRIT PRODUCTS AND SERVICES

3.1 General

EUCRIT provides educational and professional-development Services relating primarily to:

  • clinical research;
  • clinical trials;
  • Good Clinical Practice (“GCP”);
  • clinical-trial operations;
  • professional skills; and
  • related professional-development subjects.

The exact Service purchased by you is determined by the description and conditions presented or agreed before purchase.

3.2 Free

The Free level is intended to provide introductory access to EUCRIT and may include designated introductory or essential educational content.

EUCRIT may also make selected webinars, events, resources or community activities available to Free users from time to time.

Unless expressly stated otherwise, Free membership does not include general access to:

  • paid EUCRIT courses;
  • regular paid-member webinar programmes;
  • the complete webinar replay library;
  • mentoring;
  • premium professional resources; or
  • Master-only activities.

Free Services may be changed or discontinued on reasonable notice where practicable.

3.3 Start

The Start plan is a one-time paid membership.

Unless expressly stated otherwise before purchase:

  • Start does not automatically renew; and
  • no recurring membership fee applies.

An active Start membership provides continuing access, without recurring membership fees, to the benefits included in the applicable Start offer, subject to these Terms, applicable product conditions and applicable law.

Depending on the offer in effect at the time of purchase, Start may include:

  • access to designated EUCRIT courses;
  • access to designated certification pathways;
  • participation in the EUCRIT professional community;
  • access to regular EUCRIT live webinars and community events;
  • access to designated webinar replays for the period stated by EUCRIT; and
  • other benefits identified on the applicable Start product or pricing page.

The exact courses, certifications, access arrangements and benefits included in Start are those presented before purchase.

Start membership remains active unless:

  • the member requests cancellation or account closure;
  • access is lawfully suspended or terminated under these Terms;
  • EUCRIT lawfully modifies or discontinues the relevant Service in accordance with Section 18; or
  • another basis for termination arises under applicable law.

Nothing in this Section permits EUCRIT to remove or materially reduce paid contractual benefits contrary to applicable law.

3.4 Master

The Master plan is an annually renewing paid membership.

Master involves an initial membership payment followed by annual renewal payments unless automatic renewal is cancelled.

The initial price, annual renewal price and applicable billing period will be clearly presented before purchase.

Depending on the offer in effect at the time of purchase, Master may include:

  • benefits available under Start;
  • additional professional or soft-skills training;
  • access to designated operational manuals;
  • templates, checklists or professional resources;
  • access to an extended or full EUCRIT webinar replay library;
  • supporting webinar materials;
  • priority Q&A opportunities where offered;
  • access to designated advanced or Master-only workshops or sessions;
  • mentoring or professional-development activities where offered; and
  • other premium benefits identified on the applicable Master product or pricing page.

Only benefits identified as included in the applicable offer form part of the purchased Service.

3.5 Future Content and Programme Development

EUCRIT may develop, update and change individual items of content over time.

Unless expressly stated as part of the applicable offer, membership does not entitle a member to:

  • a specified minimum number of future courses;
  • a specified minimum number of webinars;
  • a particular future speaker, instructor, expert or mentor;
  • a particular future topic; or
  • permanent availability of every individual item of content.

This provision does not permit EUCRIT to remove or materially reduce core paid contractual benefits contrary to applicable law.

3.6 Organisational Training and Professional Services

EUCRIT may provide Services to organisations, including team access to training and educational resources.

The number of authorised users, access period, included Services and any organisational licence conditions will be specified in the applicable offer, Order Form or other agreed documentation.

Consultancy, mock inspections, gap assessments, inspection-readiness services, bespoke SOP or policy packages, retainers and other professional or advisory engagements may be subject to separate Professional Services Terms and a specific Order Form or Statement of Work.

Unless expressly agreed otherwise, such professional engagements are not governed solely by the general educational provisions of these Terms.

Where separate Professional Services Terms apply, the scope, deliverables, assumptions, Customer dependencies, fees, intellectual-property rights, professional standard and allocation of liability applicable to that engagement will be determined by those terms and the applicable Order Form or Statement of Work.

4. ACCOUNTS AND SECURITY

4.1 Account Registration

Certain Services require an EUCRIT account.

You must provide accurate and reasonably current registration information.

4.2 Individual and Organisational Access

Unless EUCRIT expressly provides a team, organisational or multi-user licence, your account is personal to you.

You must not:

  • share your login credentials;
  • permit an unauthorised person to use your paid access;
  • permit another person to complete an assessment in your name;
  • obtain a certificate for another person;
  • sell or transfer your account; or
  • use another person's account without permission.

Where an organisation purchases multiple licences, access is limited to the number of authorised users included in the relevant organisational purchase.

Organisational licences may not be shared with persons outside the licensed organisation unless expressly agreed by EUCRIT.

4.3 Account Security

You are responsible for taking reasonable steps to protect your login credentials.

If you suspect unauthorised access, contact us promptly at [email protected].

We may temporarily restrict access where reasonably necessary to protect account or platform security.

5. ORDERS AND CONTRACT FORMATION

5.1 Information Before Purchase

Before placing an online order, you will be provided with material information applicable to the Service, including, where relevant:

  • its main characteristics;
  • the total price;
  • applicable taxes or charges;
  • the access period or continuing-access basis;
  • payment arrangements;
  • whether payment is one-time or recurring;
  • subscription duration where applicable;
  • automatic-renewal conditions;
  • cancellation arrangements;
  • relevant technical requirements;
  • information concerning any applicable right of withdrawal;
  • the circumstances in which the statutory right of withdrawal may be lost or cease to apply; and
  • where required by applicable law, information about the existence and location of the online withdrawal function.

5.2 Obligation to Pay

Where an order involves payment, the checkout process will clearly indicate that placing the order creates an obligation to pay.

5.3 Contract Formation

Your order constitutes an offer to purchase the relevant Service.

A contract is formed when EUCRIT accepts your order and provides an order, payment or access confirmation.

If we cannot accept an order, we will not charge you or, where payment has already been processed, we will reimburse the amount paid.

5.4 Confirmation

Following conclusion of a distance contract, we will provide the contractual confirmation required by applicable law in a durable medium, normally by email.

Where applicable, and where the Consumer has expressly requested or consented to immediate performance or immediate supply of digital content and has acknowledged the resulting loss of the statutory right of withdrawal, the confirmation will include or record that consent and acknowledgement to the extent required by applicable law.

6. PRICES, TAXES AND PAYMENT

6.1 Prices

The price payable is the price displayed or agreed before you place your order.

Where required by applicable law, prices presented to Consumers will include applicable VAT and other mandatory charges, or the applicable tax treatment will be clearly communicated before purchase.

6.2 Payment Providers

Payments may be processed through Thinkific Payments or another payment service provider identified by EUCRIT.

Where payment-card information is processed directly by a payment provider, EUCRIT does not receive or store complete card details.

6.3 Payment Authorisation

By submitting payment information, you confirm that you are authorised to use the relevant payment method.

If payment fails or is reversed, we may suspend access to the relevant paid Service until valid payment is received, subject to applicable law.

6.4 Billing Errors

If you believe you have been charged incorrectly, contact us at [email protected].

Verified billing errors will be corrected.

Nothing in these Terms restricts rights you may lawfully exercise through your payment provider.

7. MEMBERSHIP PAYMENTS, CANCELLATION AND RENEWAL

7.1 Start — One-Time Membership Payment

Start is offered on a one-time payment basis unless otherwise clearly stated before purchase.

Payment for Start does not create an automatic recurring billing obligation.

Subject to these Terms, payment provides continuing membership access as described in Section 3.3.

7.2 Master — Annual Renewal

Master is an automatically renewing annual membership unless expressly stated otherwise before purchase.

Before purchase, EUCRIT will clearly disclose:

  • the initial membership price;
  • the billing period;
  • the annual renewal price or basis for determining it;
  • the renewal mechanism; and
  • how automatic renewal can be cancelled.

By purchasing Master on an automatically renewing basis, you authorise EUCRIT or its payment provider to charge the applicable annual renewal amount until automatic renewal is cancelled.

7.3 Cancellation of Start

Because Start is purchased on a one-time payment basis, there is no future automatic renewal charge to cancel.

A Start member may request cancellation or closure of the membership or account.

Cancellation is separate from the statutory right of withdrawal described in Section 8.

Unless a statutory withdrawal right or another mandatory remedy applies, cancellation of Start does not entitle the member to reimbursement of the purchase price, including where the member has already accessed or completed included training.

7.4 Cancellation of Master Automatic Renewal

You may cancel Master automatic renewal using functionality available through your account or another cancellation method communicated by EUCRIT.

Unless otherwise required by law:

  • cancellation prevents future renewal charges;
  • access ordinarily continues until the end of the period already paid for; and
  • cancellation does not retrospectively cancel the current paid period.

Cancellation of automatic renewal is separate from exercising a statutory right of withdrawal.

A member may cancel future Master renewal even where the statutory right of withdrawal has expired or has been validly lost.

Cancellation of future renewal does not, by itself, create a right to reimbursement of the current membership payment.

7.5 Price Changes

EUCRIT may change Master membership prices for future renewal periods.

Where a change affects an existing automatically renewing membership, EUCRIT will provide reasonable advance notice before the new price applies.

You may cancel renewal before the new price takes effect.

A price change will not retrospectively alter a period already paid for.

8. CONSUMER RIGHT OF WITHDRAWAL AND REFUNDS

This Section applies where you are a Consumer and applicable law gives you a statutory right of withdrawal.

8.1 General Right of Withdrawal

For qualifying distance contracts, Consumers generally have the right to withdraw from the contract within 14 days without giving a reason, subject to the conditions, limitations and exceptions provided by applicable law.

For contracts concerning services or digital content not supplied on a tangible medium, the withdrawal period generally begins on the date on which the relevant contract is concluded, subject to any different rule required by applicable law.

The statutory right of withdrawal is separate from:

  • cancellation of a membership;
  • closure of an account; and
  • cancellation of future automatic renewal.

8.2 How to Exercise the Right

Where you retain a statutory right of withdrawal, you may exercise it within the applicable withdrawal period:

Use of the Model Withdrawal Form is not mandatory.

You are not required to provide a reason for exercising a statutory right of withdrawal.

To meet the withdrawal deadline, your withdrawal declaration must be submitted before expiry of the applicable statutory withdrawal period.

8.3 Online Withdrawal Function

EUCRIT provides an online withdrawal function at:

www.eucrit.com/pages/withdrawal

Where required by applicable law, the function will:

  • be clearly identifiable and easily accessible during the applicable withdrawal period;
  • enable you to provide or confirm your name;
  • enable you to provide information identifying the relevant contract;
  • enable you to provide the electronic contact details to which acknowledgement should be sent;
  • enable you to expressly confirm your decision to withdraw; and
  • generate or trigger an acknowledgement of receipt on a durable medium without undue delay, including the content of the withdrawal declaration and its date and time of submission.

Submission of the online withdrawal form constitutes a withdrawal declaration.

It does not constitute confirmation that a refund is due and does not automatically trigger a refund.

An acknowledgement sent following submission confirms receipt of the withdrawal declaration. It does not, by itself, constitute acceptance by EUCRIT that:

  • the statutory right of withdrawal remains available;
  • the requirements for reimbursement are satisfied; or
  • a refund has been approved.

EUCRIT will determine the legal and financial consequences of the withdrawal after reviewing the relevant circumstances in accordance with this Section and applicable law.

8.4 Immediate Access to Digital Content and Loss of the Withdrawal Right

EUCRIT paid packages may provide immediate access to digital content, including:

  • self-paced GCP training;
  • other self-paced courses;
  • recorded educational content;
  • assessments;
  • downloadable materials; and
  • other digital learning resources.

Where permitted by applicable law, the Consumer may lose the statutory right of withdrawal in relation to digital content supplied on a non-tangible medium once performance has begun where:

  • the Consumer has given prior express consent for supply to begin during the statutory withdrawal period;
  • the Consumer has expressly acknowledged that, by giving that consent, the Consumer will lose the applicable right of withdrawal once the relevant legal conditions are satisfied; and
  • EUCRIT has provided the contractual confirmation required by applicable law.

General acceptance of these Terms alone does not constitute any separate express consent or acknowledgement required by applicable consumer law.

Where those mandatory requirements have not been satisfied, EUCRIT will not rely solely on access to or use of digital content to deprive a Consumer of a statutory right that continues to exist under applicable law.

8.5 GCP Training Completion and Certificate Issuance

Start and Master may include access to EUCRIT GCP training and the possibility of obtaining an EUCRIT certificate after satisfaction of the applicable completion and assessment requirements.

EUCRIT considers completion of the GCP training and issuance of the corresponding certificate to constitute material evidence that the relevant training component has been fully consumed and completed.

Accordingly, where:

  • the learner has completed the applicable GCP course;
  • the applicable assessment and completion requirements have been satisfied;
  • the corresponding certificate has been issued; and
  • the statutory requirements for loss or cessation of the relevant right of withdrawal have been validly satisfied,

no refund will be provided on the basis of the statutory right of withdrawal.

In those circumstances, the learner may still cancel or close the relevant membership in accordance with these Terms, and a Master member may cancel future automatic renewal, but such cancellation does not create a right to reimbursement of amounts already paid.

For the avoidance of doubt, EUCRIT will not rely on course completion or certificate issuance to override a statutory right of withdrawal or reimbursement that cannot lawfully be excluded.

8.6 Withdrawal and Refund Requests Are Reviewed Individually

EUCRIT does not operate an automatic refund process.

Every withdrawal and related refund request is reviewed individually.

EUCRIT may review information including:

  • the date and time of purchase;
  • the date and time on which the withdrawal declaration was submitted;
  • the membership or Service purchased;
  • the content and Services included in that package;
  • the learner's access and course-progress records;
  • whether the relevant GCP course has been completed;
  • whether the required assessment has been completed;
  • whether a certificate has been issued;
  • whether immediate access or performance was requested or consented to;
  • whether the Consumer acknowledged the consequences for the withdrawal right;
  • the contractual confirmation supplied after purchase; and
  • any other information reasonably necessary to determine the Consumer's statutory rights.

As an EUCRIT refund policy, a refund request under the 14-day withdrawal process will ordinarily be eligible only where:

  • the request is submitted within the applicable 14-day statutory period; and
  • the learner has not completed the relevant GCP course and received the corresponding certificate,

in each case subject to applicable mandatory consumer law.

Where the learner has completed the GCP course and the corresponding certificate has been issued, EUCRIT will not grant a refund under this policy unless reimbursement is nevertheless required by mandatory applicable law.

EUCRIT may use records maintained through Thinkific or another EUCRIT learning platform to verify course-completion and certificate status.

8.7 Outcome of the Review and Reimbursement

Following review of the withdrawal request:

  • where the Consumer validly retains and exercises a statutory right of withdrawal and reimbursement is legally due, EUCRIT will process the reimbursement required by applicable law;
  • where the statutory right of withdrawal has expired or has been validly lost, no statutory refund will be due; and
  • where a request does not give rise to a statutory reimbursement but EUCRIT decides to offer a discretionary refund, any such refund will be governed by Section 20.

Where a statutory reimbursement is due, it will be made within the period and in the manner required by applicable law.

Reimbursement will normally be made using the same payment method used for the original transaction unless otherwise agreed or legally permitted.

Submission of a withdrawal declaration does not itself constitute an automatic refund instruction to Thinkific, Thinkific Payments or any other payment provider.

Any refund that is due will be processed by EUCRIT following the applicable review.

EUCRIT's review procedure will not be used to delay a reimbursement beyond any mandatory statutory deadline.

8.8 Effect of a Valid Withdrawal

Where a valid withdrawal applies to a paid membership or Service, EUCRIT may:

  • terminate or remove access to the affected paid Service;
  • cancel the relevant membership where the withdrawal relates to that membership;
  • cease future recurring billing where applicable; and
  • take any other administrative steps reasonably necessary to give effect to the withdrawal.

Where reimbursement is legally required and a certificate or credential has already been issued in circumstances in which the Consumer nevertheless retains the statutory right to withdraw, EUCRIT may cancel or invalidate that credential to the extent permitted by applicable law.

Where invalidation results solely from a valid statutory withdrawal, it does not constitute a finding of misconduct.

8.9 Cancellation Without Refund

Cancellation of membership is different from statutory withdrawal.

A member may request cancellation or account closure even where:

  • the statutory 14-day withdrawal period has expired; or
  • the statutory right of withdrawal has been validly lost.

A Master member may also cancel future automatic renewal.

Unless otherwise required by law, cancellation:

  • does not create a right to reimbursement of amounts already paid;
  • does not retrospectively reverse Services or digital content already supplied;
  • does not reverse completion of training already undertaken; and
  • in the case of Master, prevents future renewal charges in accordance with Section 7.4.

8.10 Separate Statutory Remedies

Expiry or valid loss of the statutory right of withdrawal does not remove separate mandatory rights relating to:

  • non-supply;
  • lack of conformity;
  • defective digital content;
  • defective digital services; or
  • another breach of contract.

9. DIGITAL CONTENT AND DIGITAL SERVICES

9.1 Supply

EUCRIT will provide paid digital content or digital services without undue delay or at the time agreed with you.

Access may be provided through EUCRIT's website, Thinkific or another platform identified for the relevant Service.

9.2 Conformity

Paid digital content and digital services will be provided in accordance with applicable contractual and statutory requirements.

Nothing in these Terms limits mandatory statutory rights relating to conformity of digital content or digital services.

9.3 Technical Requirements

Where specific technical, compatibility or interoperability requirements are materially relevant and known to EUCRIT, they will be communicated where required by applicable law.

You are responsible for maintaining a suitable internet connection, compatible device, appropriate browser and ordinary software required to access the Service, except where a problem results from EUCRIT's failure to comply with applicable contractual or statutory obligations.

9.4 Problems With Digital Content or Services

If paid digital content or a digital service is not supplied or does not conform to the contract, contact us at [email protected].

Depending on applicable law and the circumstances, statutory remedies may include:

  • bringing the digital content or service into conformity;
  • proportionate reduction of the price; or
  • termination of the contract and reimbursement.

10. WEBINARS, WORKSHOPS AND LIVE EVENTS

10.1 Access

EUCRIT may provide:

  • selected open webinars;
  • regular membership webinars;
  • premium or advanced sessions;
  • workshops;
  • Q&A sessions; and
  • other live educational or professional-development events.

Access depends on the applicable membership tier or separate event purchase.

10.2 Start Webinar Access

Where included in the applicable Start plan, Start members may attend designated regular EUCRIT live webinars and community events while their Start membership remains active.

Replay access, where included, may be limited to a specified period.

10.3 Master Webinar Access

Where included in the applicable Master plan, Master members may receive broader webinar-related benefits, which may include:

  • access to an extended or full webinar replay library;
  • webinar supporting materials;
  • priority Q&A opportunities;
  • advanced sessions; and
  • Master-only workshops or small-group activities.

Only benefits identified as included in the applicable offer form part of the purchased Service.

10.4 Changes to Live Events

EUCRIT takes reasonable steps to deliver events as advertised.

Where reasonably necessary, EUCRIT may:

  • substitute a speaker, instructor or expert;
  • make reasonable programme changes;
  • change the date or time;
  • change the delivery platform; or
  • reschedule an event.

Material changes will be communicated to registered participants as soon as reasonably practicable.

10.5 Cancellation by EUCRIT

If EUCRIT cancels a separately purchased paid event and does not provide a reasonable replacement or rescheduled event, EUCRIT will provide any refund or other remedy required by applicable law.

Where an event forms part of a broader membership, EUCRIT will take reasonable steps to provide an appropriate alternative where cancellation materially affects the contracted membership Service.

10.6 Non-Attendance

If you fail to attend a live event for which you registered, no discretionary refund will ordinarily arise solely from non-attendance, subject to:

  • statutory withdrawal rights;
  • specific event conditions; and
  • mandatory applicable law.

10.7 Recordings and Replays

Not every live event will necessarily be recorded.

Replay access is included only where stated as part of the relevant Service or membership.

Where replay access is time-limited, the applicable period will be communicated by EUCRIT.

10.8 Participant Recording

You must not record, reproduce, publish or distribute an EUCRIT webinar, workshop or live event without prior permission.

Where EUCRIT records a session in which participants may be identifiable, appropriate privacy information will be provided.

11. MENTORING, LIVE EXPERT SESSIONS AND Q&A

11.1 Nature and Purpose

Where EUCRIT offers mentoring, priority Q&A, live expert sessions, workshops or similar activities, those Services are provided solely for educational, training and professional-development purposes.

They are intended to support learning, understanding of professional concepts and development of professional skills.

They are not consultancy services unless EUCRIT expressly agrees otherwise in a separate written professional-services engagement.

11.2 No Individualised Clinical, Legal or Regulatory Advice

Mentors, instructors, speakers and experts participating in EUCRIT membership or educational Services are not engaged through those Services to approve, validate or determine the appropriate course of action for a particular:

  • clinical trial;
  • protocol;
  • patient or medical situation;
  • regulatory submission;
  • inspection or audit response;
  • deviation or CAPA;
  • sponsor or CRO requirement;
  • SOP;
  • quality-management decision;
  • legal or contractual matter; or
  • organisation-specific operational issue.

Comments, explanations, suggestions, examples or feedback provided during mentoring, Q&A, webinars, workshops or live sessions are educational in nature.

They must not be treated as a substitute for applicable legislation, regulatory requirements, regulatory guidance, study protocols, sponsor instructions, contracts, SOPs, employer or organisational procedures, competent-authority requirements or advice from an appropriately appointed professional adviser.

11.3 User Responsibility

Users remain responsible for assessing whether information discussed during mentoring, Q&A or live sessions is appropriate to their circumstances.

Users remain responsible for obtaining organisation-specific, study-specific or professional advice where reasonably required.

A user must not implement a material clinical, regulatory, legal, medical, quality-management or operational decision solely on the basis of an EUCRIT mentoring, Q&A or live-session interaction where independent verification, professional judgement or organisation-specific assessment would reasonably be required.

11.4 Confidential and Restricted Information

EUCRIT or the relevant expert may decline to answer a question where answering it would reasonably require individualised professional advice beyond the scope of the Service.

Users must not disclose through mentoring, Q&A, community functions or live sessions:

  • patient-identifiable information;
  • personal data that they are not authorised to disclose;
  • confidential or restricted clinical-trial information;
  • sponsor-confidential information;
  • trade secrets; or
  • other information subject to confidentiality obligations,

unless EUCRIT has expressly agreed to receive such information within an appropriately governed professional engagement.

11.5 Experts and Mentors

EUCRIT may use appropriately selected external experts, mentors, speakers or instructors to provide parts of the Services.

EUCRIT remains responsible for the performance of its contractual obligations to the extent required by applicable law.

Mentors and experts operate within the educational and training framework described in these Terms.

Unless expressly authorised in writing by EUCRIT, a mentor or expert is not authorised to make commitments on behalf of EUCRIT regarding employment, recruitment, placement, regulatory outcomes or other guaranteed professional results.

Nothing in this Section excludes or limits liability for a proven failure by EUCRIT, or by a person for whose performance EUCRIT is responsible under applicable law, to perform the relevant Service with the standard required by the applicable contract and law.

11.6 Training and Professional-Development Purpose

EUCRIT mentoring, priority Q&A, coaching-style educational interactions and similar activities are training, educational and professional-development Services.

They are not recruitment, headhunting, employment-placement or career-placement services.

Mentors may provide educational feedback, learning support and general discussion of professional-development topics, but learners remain responsible for their own career decisions, applications, qualifications, skills and professional development.

The limitations concerning professional, career, regulatory and other outcomes are set out in Section 13.4 (No Guaranteed Outcomes).

12. ASSESSMENTS AND CERTIFICATES

12.1 Requirements

Eligibility for an EUCRIT certificate may require you to:

  • complete designated modules;
  • complete required learning activities;
  • achieve a specified assessment score;
  • complete an examination;
  • satisfy attendance requirements; or
  • meet other criteria stated for the relevant Service.

12.2 Assessment Integrity

Assessments must be completed honestly and personally by the registered learner.

You must not:

  • impersonate another learner;
  • permit another person to complete an assessment for you;
  • use prohibited assistance;
  • manipulate the assessment process; or
  • fraudulently obtain a certificate.

12.3 Meaning of an EUCRIT Certificate

An EUCRIT certificate confirms only what is expressly stated on the certificate, such as completion of or assessment in a particular EUCRIT course.

Unless expressly stated otherwise, an EUCRIT certificate:

  • is not a government-issued professional licence;
  • does not confer regulated professional status;
  • does not constitute accreditation of the holder by a competent authority;
  • does not replace employer-specific, study-specific or role-specific training; and
  • does not establish competence beyond the scope of the relevant training and assessment.

Limitations concerning recognition, employment and other outcomes are set out in Section 13.4 (No Guaranteed Outcomes).

12.4 Certificate Integrity and Invalidation

EUCRIT may withhold, invalidate, cancel or revoke a certificate or other credential where:

  • there is reasonable evidence of impersonation, cheating, fraud or material assessment misconduct;
  • the certificate was obtained through material misrepresentation;
  • the certificate was issued in error; or
  • the certificate relates to a paid Service from which the learner subsequently validly withdraws in circumstances where applicable law requires EUCRIT to provide reimbursement and the contractual basis for the credential consequently ceases to apply.

Where invalidation is based on alleged misconduct, the learner will, where reasonably practicable, be given an opportunity to provide an explanation before final revocation.

Where invalidation results solely from a valid statutory withdrawal and reimbursement, it does not constitute misconduct and does not affect the learner's statutory Consumer rights.

A certificate or credential that has been cancelled or invalidated must not subsequently be represented as a current valid EUCRIT credential.

12.5 Certificate Verification

EUCRIT may maintain records for the purpose of verifying the status of certificates or credentials.

Possession of a downloaded or printed copy of a certificate does not, by itself, establish that the certificate remains currently valid where EUCRIT has subsequently cancelled or invalidated the credential in accordance with these Terms and applicable law.

13. EDUCATIONAL NATURE, REGULATORY USE AND PROFESSIONAL STANDARD

13.1 General Educational Purpose

EUCRIT provides education and professional training.

Content and Services may address:

  • clinical research;
  • GCP;
  • clinical-trial operations;
  • legislation;
  • regulation;
  • regulatory guidance;
  • professional practices; and
  • career-related professional development.

Unless expressly provided under a separate professional-services engagement, EUCRIT Services are provided for educational, training and professional-development purposes.

13.2 No Individualised Professional Advice

Unless EUCRIT expressly enters into a separate written professional-services engagement providing otherwise, neither EUCRIT Content nor interactions occurring through:

  • mentoring;
  • priority Q&A;
  • webinars;
  • workshops;
  • live expert sessions;
  • community discussions; or
  • other educational Services

constitute individualised legal, medical, clinical, regulatory or compliance advice.

Information provided in response to a user's question remains educational and training information and must be considered in light of the user's circumstances and the applicable:

  • legislation;
  • regulatory requirements;
  • current regulatory guidance;
  • protocol;
  • sponsor requirements;
  • SOPs;
  • contracts; and
  • organisational procedures.

EUCRIT Services are not intended to replace advice, review or approval from an appropriately qualified professional, employer, sponsor, CRO, investigator, legal adviser, medical professional, quality function or competent authority where such advice, review or approval is appropriate.

13.3 Accuracy and Professional Standard

EUCRIT will prepare and provide its paid educational Services with reasonable skill, care and professional diligence appropriate to the nature and scope of the relevant Service.

EUCRIT takes reasonable care to prepare educational material that is accurate and appropriately current at the time of preparation or publication.

However, laws, regulations, regulatory guidance, scientific knowledge and professional or industry practices may change.

Users operating in regulated environments remain responsible for consulting current:

  • legislation;
  • regulatory requirements;
  • official guidance;
  • study protocols;
  • standard operating procedures;
  • sponsor requirements;
  • employer requirements; and
  • competent-authority instructions,

where relevant to their professional activities.

13.4 No Guaranteed Outcomes

EUCRIT Services are designed to provide education, training and professional-development support.

They do not guarantee any particular professional, career, regulatory, clinical or commercial outcome.

In particular, participation in or completion of an EUCRIT Service does not guarantee:

  • employment, employability, an interview or a job offer;
  • referral or introduction to an employer, CRO, sponsor, clinical research site or other organisation;
  • entry into or transition within the clinical research sector or another profession;
  • promotion, career progression or professional advancement;
  • any particular salary, remuneration or professional status;
  • recognition of an EUCRIT certificate by a particular employer, sponsor, CRO, institution, authority or other third party;
  • successful completion of an external recruitment, examination or selection process;
  • regulatory approval;
  • a successful inspection or audit;
  • absence of inspection findings, observations or corrective actions;
  • successful study performance; or
  • any other specified professional, regulatory or commercial result.

Outcomes depend on circumstances outside EUCRIT's control, including the learner's qualifications, experience, performance and decisions and, where relevant, the requirements and decisions of employers, sponsors, CROs, institutions, regulators and other third parties.

Nothing in this Section limits any liability EUCRIT has under applicable law for failure to perform a contracted Service in accordance with the applicable contractual or statutory standard.

13.5 Organisational Use of Training

EUCRIT training may be purchased by Organisational Customers for the education and professional development of their personnel.

Unless expressly agreed otherwise in writing, EUCRIT courses and general training materials do not constitute:

  • regulatory assurance;
  • certification of the Organisational Customer's overall compliance;
  • validation of the Customer's procedures or quality-management system;
  • study-specific regulatory advice;
  • protocol-specific training;
  • sponsor-specific procedural guidance; or
  • a representation that use of EUCRIT training alone will satisfy all requirements applicable to a particular clinical trial, organisation, inspection or audit.

The Organisational Customer remains responsible for determining what additional:

  • study-specific;
  • protocol-specific;
  • role-specific;
  • sponsor-specific;
  • SOP-specific; and
  • regulatory

training is required for its personnel.

13.6 Regulatory Reliance by Organisations

Organisational Customers remain responsible for their own:

  • regulatory compliance;
  • quality-management systems;
  • clinical-trial conduct;
  • procedures;
  • supervision;
  • implementation of training; and
  • professional and operational decisions.

EUCRIT educational content is not intended to be the sole basis for a study-specific, clinical, regulatory or quality-management decision where independent verification or organisation-specific assessment is reasonably required.

A regulatory finding, audit observation, unsuccessful inspection or study delay does not, by itself, establish that EUCRIT has breached its contractual obligations.

14. INTELLECTUAL PROPERTY AND LICENCES

14.1 Ownership

Unless otherwise stated, EUCRIT or its licensors own or lawfully use the intellectual-property rights in EUCRIT Content.

“Content” includes:

  • course videos;
  • text;
  • presentations;
  • diagrams;
  • graphics;
  • assessment questions;
  • manuals;
  • templates;
  • checklists;
  • webinar materials;
  • recordings;
  • downloadable resources;
  • branding; and
  • logos.

14.2 Individual User Licence

Subject to these Terms, EUCRIT grants individual users a limited, personal, non-exclusive, non-transferable and non-sublicensable right to access and use Content made available to them for their own learning and professional development during the applicable access period.

Where a resource is expressly downloadable, you may retain and use it for your own personal professional reference, subject to any specific conditions stated for that resource.

14.3 Organisational Training Licence

Where an Organisational Customer purchases training seats or an organisational licence, EUCRIT grants the Customer a non-exclusive and non-transferable licence to permit the agreed number of authorised users to access the relevant training for the Customer's internal education and professional-development purposes.

The Customer may not:

  • exceed the number of authorised users purchased;
  • share login credentials between unauthorised users;
  • provide access to another organisation;
  • resell the training;
  • sublicense EUCRIT course access; or
  • reproduce EUCRIT training content for organisation-wide distribution outside the functionality expressly included in the purchased licence.

14.4 Professional Resources and Templates

Where EUCRIT supplies SOP templates, policies, manuals, forms, checklists or similar materials as part of a specific professional or organisational package, the permitted internal operational use of those materials will be governed by the applicable product terms, Professional Services Terms, Order Form or Statement of Work.

Where those terms expressly permit operational use, the Customer may copy, modify, adapt and incorporate the relevant materials into its own internal policies, procedures, quality-management documents and controlled documentation within the scope of the agreed licence.

The Customer remains responsible for the review, adaptation, approval, implementation, maintenance, training, version control and periodic review of its final internal documents.

Nothing in the personal-learning restriction in Section 14.2 prevents organisational use expressly authorised under an organisational or professional-resource licence.

14.5 General Restrictions

Unless expressly permitted by EUCRIT, an applicable organisational licence or applicable law, you must not:

  • reproduce or republish substantial parts of Content;
  • distribute Content to third parties;
  • sell, license or commercially exploit Content;
  • share paid Content with unauthorised persons;
  • upload Content to another website, learning platform, shared repository or file-sharing service;
  • create or distribute an unauthorised competing training or template product substantially derived from EUCRIT Content;
  • systematically scrape or extract Content;
  • use automated tools for mass downloading;
  • remove proprietary notices;
  • circumvent access restrictions; or
  • make unauthorised recordings.

Nothing in these Terms restricts any use that applicable law does not permit us to prohibit.

14.6 EUCRIT Brand

EUCRIT names, logos and branding must not be used in a manner that suggests endorsement, partnership, accreditation or affiliation without prior permission.

15. ACCEPTABLE USE

You must not use the Services:

  • unlawfully or fraudulently;
  • to interfere with platform security;
  • to obtain unauthorised access;
  • to distribute harmful code;
  • to harass users, speakers, instructors, experts or mentors;
  • to impersonate another person;
  • to manipulate assessments or certificates;
  • to infringe intellectual-property or other third-party rights;
  • to collect personal data without lawful authority; or
  • in a manner that materially disrupts other users.

EUCRIT may take proportionate action in response to breaches, including warnings, temporary restrictions, suspension or termination in serious cases.

16. COMMUNITY FEATURES AND USER CONTENT

16.1 Community Conduct

Where EUCRIT provides community or discussion functionality, users are responsible for their own contributions.

Professional discussion and disagreement are permitted.

Harassment, threats, abusive conduct, unlawful discrimination and unlawful content are not permitted.

16.2 User Content

You retain any intellectual-property rights you have in original content submitted by you.

By posting content through an EUCRIT community feature, you grant EUCRIT a non-exclusive licence to host, reproduce and display that content to the extent reasonably necessary to operate the relevant Service.

16.3 Moderation

EUCRIT may restrict or remove user content where we reasonably believe it:

  • violates these Terms;
  • is unlawful;
  • infringes third-party rights;
  • creates a material privacy or security risk; or
  • materially disrupts the community.

Any action remains subject to applicable law.

17. THIRD-PARTY PLATFORMS AND SERVICES

17.1 Third-Party Providers

EUCRIT may use third-party providers for:

  • learning management;
  • hosting;
  • videoconferencing;
  • communications;
  • payment processing; and
  • other technical functions.

EUCRIT courses and memberships may, for example, be delivered through Thinkific.

Live events may be delivered through separate videoconferencing services.

17.2 Technical Interruptions

Technical interruptions may occasionally result from third-party infrastructure outside EUCRIT's direct control.

EUCRIT will take reasonable steps to address material problems affecting delivery of paid Services.

Nothing in this Section limits statutory rights where EUCRIT remains legally responsible for provision of the contracted Service.

17.3 External Links

EUCRIT Content may contain links to third-party websites or resources.

A link does not necessarily constitute endorsement.

Third-party services are subject to their own terms and privacy practices.

18. AVAILABILITY, MAINTENANCE AND CHANGES

18.1 Availability

EUCRIT aims to provide reliable access but cannot guarantee uninterrupted availability at all times.

Temporary interruptions may arise from:

  • maintenance;
  • security updates;
  • technical faults;
  • hosting failures;
  • internet outages;
  • third-party platform issues; or
  • events outside our reasonable control.

18.2 Content Updates

EUCRIT may make reasonable changes to Services in order to:

  • update educational content;
  • reflect changes in law, regulation or guidance;
  • reflect changes in professional practice;
  • improve educational quality;
  • correct errors;
  • improve functionality;
  • maintain security; or
  • adapt to technical requirements.

18.3 Material Changes to Paid Services

EUCRIT will not intentionally remove or materially reduce a core paid contractual benefit during the applicable paid or continuing-access period without a legitimate reason and without providing the protection required by applicable law.

Where a change materially and negatively affects an ongoing paid digital Service beyond what may reasonably be expected under the contract, EUCRIT will provide any notice, information or remedy required by applicable law.

18.4 Discontinuation of a Service

If EUCRIT decides to discontinue a paid ongoing Service, membership tier or material platform functionality, EUCRIT will provide reasonable advance notice where practicable and will take any measures required by applicable law in relation to affected Customers.

19. SUSPENSION AND TERMINATION

19.1 Suspension

EUCRIT may temporarily suspend or restrict access where reasonably necessary because of:

  • suspected account compromise;
  • payment failure;
  • serious or repeated breach of these Terms;
  • assessment or certificate fraud;
  • unlawful activity;
  • serious intellectual-property infringement;
  • security threats; or
  • legal requirements.

Where appropriate, EUCRIT will provide notice and a reasonable opportunity to remedy the breach.

Immediate action may be taken where reasonably necessary to protect security, users, third-party rights or legal compliance.

19.2 Termination for Material Breach

EUCRIT may terminate access for a material breach that:

  • cannot reasonably be remedied; or
  • remains unremedied after reasonable notice.

Any financial consequences will be determined in accordance with the circumstances and applicable law.

EUCRIT will not retain payments where retention would violate mandatory law.

19.3 Account Deletion or Voluntary Membership Closure

You may request deletion of your account or closure of your membership through available functionality or by contacting EUCRIT.

Deletion or closure may result in loss of access to Services and account information.

You should download certificates or materials you are entitled to retain before requesting deletion or closure.

Voluntary deletion or cancellation after an applicable statutory withdrawal period has expired or been validly lost does not, by itself, create a contractual entitlement to a pro-rata or other refund, except where a refund or other remedy is required by applicable law.

20. REFUNDS OUTSIDE STATUTORY RIGHTS

Section 8 governs refunds arising from the statutory Consumer right of withdrawal.

This Section concerns refunds that are not legally required.

Except where required by applicable law, expressly provided under a specific product or event policy or otherwise agreed by EUCRIT, payments are non-refundable after the applicable statutory withdrawal right has expired or has been validly lost.

In particular, EUCRIT does not ordinarily provide discretionary refunds because:

  • you change your mind;
  • you do not complete a course;
  • you do not attend a webinar, workshop or other event;
  • you fail an assessment;
  • you no longer require the Service;
  • you voluntarily cancel Start;
  • you cancel future Master renewal;
  • you have already accessed or completed included digital training; or
  • your personal or professional circumstances change.

Completion of the relevant GCP course and issuance of the corresponding certificate do not create a contractual entitlement to a refund.

Nothing in this Section affects:

  • mandatory statutory withdrawal rights;
  • mandatory remedies relating to non-supply or lack of conformity;
  • statutory rights concerning defective digital content or digital services; or
  • any other remedy that cannot lawfully be excluded.

21. LIABILITY

21.1 Mandatory Liability

Nothing in these Terms excludes or limits:

  • mandatory Consumer rights;
  • liability for fraud or wilful misconduct;
  • liability for gross negligence where it cannot lawfully be excluded or limited;
  • liability relating to life, health or other rights where exclusion or limitation is prohibited by law; or
  • any other liability or statutory remedy that cannot lawfully be excluded or limited.

21.2 Consumers

Where you are a Consumer, EUCRIT is responsible for losses and other consequences for which it is liable under applicable mandatory law.

Nothing in these Terms limits mandatory Consumer remedies relating to non-performance, lack of conformity, digital content, digital services or other statutory rights.

21.3 Organisational Customers

EUCRIT's provision of educational Services does not transfer to an Organisational Customer responsibility for the Customer's own:

  • regulatory compliance;
  • clinical-trial conduct;
  • quality-management system;
  • study-specific training;
  • procedures;
  • supervision;
  • implementation of training; or
  • clinical, regulatory, operational or professional decisions.

Organisational Customers must not treat general EUCRIT educational material as the sole basis for a study-specific, regulatory or quality-management decision where independent verification or organisation-specific assessment is reasonably required.

21.4 Regulatory and Professional Outcomes

The limitations concerning guaranteed professional, career, regulatory and commercial outcomes are set out in Section 13.4.

A regulatory finding, inspection outcome, audit observation, corrective-action requirement, study delay or other adverse third-party outcome does not, by itself, establish that EUCRIT has breached its contractual obligations.

Liability depends on whether there has been a breach or other basis of liability attributable to EUCRIT under the applicable contract and applicable law.

Nothing in this Section relieves EUCRIT from responsibility for a proven failure to perform its contractual obligations with the standard required under these Terms and applicable law.

21.5 Mentoring, Q&A and Expert Interactions

Sections 11 and 13.2 describe the educational nature and scope of mentoring, Q&A and other interactive Services. Section 13.4 applies to outcomes associated with those Services.

Where a clinical, regulatory, legal, medical, quality-management or operational decision reasonably requires organisation-specific assessment, specialist advice, professional judgement or independent verification, the user remains responsible for obtaining and considering that assessment before acting.

Nothing in this Section excludes or limits liability for a proven breach by EUCRIT or by a person for whose performance EUCRIT is responsible under applicable law.

21.6 Business and Consequential Losses

For Organisational Customers, any contractual exclusion or limitation relating to categories of business loss, including:

  • loss of profit;
  • loss of revenue;
  • loss of study income;
  • loss of business opportunity;
  • loss of anticipated savings;
  • contractual penalties payable to third parties; or
  • reputational loss,

will apply only where and to the extent validly agreed between the parties and permitted by applicable law.

These general web Terms do not by themselves create an unlimited exclusion of liability for such losses where such exclusion would be invalid under applicable law.

21.7 Individually Agreed Liability Limits

Where EUCRIT and an Organisational Customer expressly agree an Order Form, Statement of Work, Professional Services Agreement or other individually negotiated agreement containing a monetary limitation or other allocation of liability, that agreed limitation will apply in accordance with its terms and applicable law.

Any such limitation does not apply to liability that cannot lawfully be excluded or limited.

21.8 Causation and Third-Party Factors

Clinical-trial, regulatory, professional and commercial outcomes may be affected by multiple factors outside EUCRIT's control, including:

  • the Customer's systems and procedures;
  • personnel performance;
  • supervision;
  • study documentation;
  • implementation of training;
  • sponsor requirements;
  • protocol requirements;
  • third-party conduct; and
  • decisions of competent authorities.

EUCRIT is responsible only for loss legally attributable to a breach or other basis of liability for which EUCRIT is responsible under the applicable contract and law.

21.9 Events Outside Our Reasonable Control

EUCRIT is not responsible for delay or failure caused by events outside its reasonable control to the extent permitted by law.

Where such circumstances materially prevent provision of a paid Service, EUCRIT will take reasonable steps to minimise the impact and provide any remedy required by applicable law.

22. PRIVACY AND DATA PROTECTION

EUCRIT processes personal data in accordance with applicable data-protection law, including the General Data Protection Regulation (“GDPR”) where applicable.

Please review our Privacy Policy at:

www.eucrit.com/pages/privacy

The Privacy Policy explains:

  • what personal data we process;
  • why we process it;
  • applicable legal bases;
  • recipients;
  • international transfers;
  • retention periods;
  • your data-protection rights; and
  • how to contact us about privacy matters.

EUCRIT Services requiring an account or registration are intended for persons aged 18 or over.

Our Cookie Policy provides information about cookies and similar technologies.

23. COMPLAINTS

If you experience a problem with an EUCRIT Service, please contact us so that we can attempt to resolve it.

Email: [email protected]

Please provide sufficient information to identify:

  • your account;
  • the relevant purchase or Service; and
  • the issue concerned.

Nothing in this complaints procedure prevents you from exercising rights or remedies available under applicable law.

Where EUCRIT is legally required to provide information concerning an applicable alternative dispute-resolution body or procedure, such information will be provided in accordance with applicable law.

24. GOVERNING LAW AND JURISDICTION

24.1 Governing Law

These Terms and contracts concluded under them are governed by the laws of Greece.

If you are a Consumer, this choice of law does not deprive you of any mandatory protection afforded by the law that would apply in the absence of this choice and from which the parties cannot validly derogate.

24.2 Consumer Jurisdiction

If you are a Consumer, nothing in these Terms restricts your rights concerning the competent courts under applicable consumer-protection and jurisdiction rules.

Any mandatory jurisdiction rights available to Consumers under applicable European Union law remain unaffected.

24.3 Organisational and Other Disputes

For disputes not subject to mandatory Consumer-jurisdiction rules, the competent courts of Athens, Greece will have jurisdiction to the extent permitted by applicable law, unless a separate individually negotiated agreement validly provides otherwise.

25. CHANGES TO THESE TERMS

25.1 Future Purchases

EUCRIT may update these Terms from time to time to reflect:

  • changes in law or regulation;
  • changes to Services;
  • security or technical developments;
  • changes to the business model; or
  • other legitimate operational requirements.

The version presented in connection with a purchase will ordinarily govern that purchase, subject to lawful changes applicable to an ongoing Service.

25.2 Ongoing Paid Services

Where a proposed change materially affects an ongoing paid or continuing-access Service, EUCRIT will provide reasonable advance notice where required and explain any applicable rights or options.

EUCRIT will not rely solely on continued use of a Service to impose a material adverse contractual change where applicable law requires consent or another procedure.

26. TRANSFER

You may not transfer your personal account, certificate or contractual access rights to another person unless EUCRIT expressly agrees or applicable law provides otherwise.

An Organisational Customer may reassign authorised-user access only where permitted by the applicable organisational licence conditions.

EUCRIT may transfer its rights and obligations in connection with a merger, restructuring, sale of business or similar corporate transaction, provided that this does not reduce mandatory rights.

Where required by law, appropriate notice will be provided.

27. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, that provision will apply only to the extent legally permissible or, where appropriate, will be treated as severed.

The remaining provisions will continue to apply where capable of doing so.

Nothing in this Section permits an unfair or otherwise invalid Consumer term, or an invalid limitation of liability, to be replaced in a manner contrary to applicable law.

28. NO WAIVER

If EUCRIT does not immediately enforce a provision of these Terms, this does not mean that EUCRIT has waived its right to enforce that provision later.

29. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

29.1 General

These Terms, together with:

  • the product or order information presented before purchase;
  • any specific conditions expressly applicable to a Service; and
  • any other contractual document expressly incorporated into your agreement,

constitute the terms governing the relevant Service.

29.2 Professional and Organisational Agreements

Where an Organisational Customer and EUCRIT enter into a specific:

  • Order Form;
  • Statement of Work;
  • Professional Services Agreement;
  • proposal expressly accepted as contractual; or
  • individually negotiated agreement,

that document will prevail over these Terms to the extent of any express inconsistency.

Nothing in this Section excludes liability for fraud, fraudulent misrepresentation or other rights that cannot legally be excluded.
